Terms of Service

These Terms of Service ("Terms") govern your access to and use of Orderzo, a software-as-a-service platform provided by Orderzo Technologies Private Limited (CIN: U62099TS2026PTC216704) ("Orderzo", "we", "us", "our"). By creating an account or using our service, you agree to be bound by these Terms.

If you do not agree, please do not use our service.

You must be at least 18 years old and legally capable of entering into binding contracts under Indian law to use Orderzo. By signing up, you confirm that:

• You are 18 years or older
• You operate a legitimate business in India
• The information you provide is accurate and current
• You will use Orderzo for lawful business purposes only

Your account is identified by your mobile phone number. You agree to:

• Keep your phone number secure and not share OTPs with anyone
• Notify us immediately if you suspect unauthorized access
• Take responsibility for all activity under your account
• Provide accurate business information during setup

Orderzo provides a digital platform to:

• Create and manage orders, bills, and invoices
• Generate and share PDF invoices
• Share bills on WhatsApp with a UPI payment link (a upi://pay deep link) that you send from your own WhatsApp
• Track customer history and business performance
• Manage your items catalog

Orderzo is not a payment gateway, payment aggregator, or payment processor, and never holds, routes, collects, or touches the money your customers pay you. When a customer pays one of your bills, they pay from their own UPI app directly into your bank account — the money moves bank-to-bank, straight to you, and Orderzo takes zero commission on it. We are not a party to, and do not sit in the path of, those payments.

Razorpay is used only to collect Orderzo's own Pro fee from you (the Pro plan — ₹349/month or ₹3,999/year). It plays no part in the payments between you and your customers.

You agree NOT to:

• Use Orderzo for illegal goods, services, or activities
• Send spam, harassment, or unwanted messages to customers
• Reverse-engineer, decompile, or attempt to extract our source code
• Resell, sublicense, or white-label Orderzo without written permission
• Upload viruses, malware, or harmful code
• Impersonate another business or person
• Violate any Indian law (IT Act, Consumer Protection Act, etc.)
• Bypass usage limits or attempt to defraud us

Violation may result in immediate account termination and legal action.

Orderzo offers two plans:

• Free Plan — ₹0 forever. Includes up to 10 invoices per calendar month. All core features (invoices, customers, items, one-tap WhatsApp sharing, branded PDFs).
• Pro Plan — ₹349/month or ₹3,999/year (saves ₹189 annually). Includes unlimited invoices and all features.

All prices are in Indian Rupees and exclusive of applicable taxes; 18% GST is added at checkout. You can view current plans and upgrade anytime at orderzo.io/pricing.

We may change our pricing. We will tell you by email or in the app before a price change takes effect. A Pro period you have already paid for is not affected by a price change.

• Pro is a one-time payment for the plan period you choose (monthly or annual). We do not store your card and we never charge you automatically.
• Your Pro access runs from the date of payment until the expiry date shown in your dashboard.
• Your expiry date is always shown in Settings in your dashboard, so you can renew from there before your Pro period ends if you want to continue.
• If you do not renew, your account moves to the Free plan on the expiry date (with a 3-day grace window before the Free-plan limits take effect).
• Refunds are governed by our Refund Policy.

You own all data you input into Orderzo (customer info, orders, items, etc.). We store and process it on your behalf to deliver the service.

Your customers' data. When you add your customers' personal data — such as their name and phone number — to Orderzo, you confirm that you have a lawful basis and any consent required under the Digital Personal Data Protection Act, 2023 to collect that data and to have Orderzo process it. For that data, you are the Data Fiduciary and Orderzo acts only as your Data Processor, handling it on your instructions to provide the service. You are responsible for how you obtain and use your customers' data.

By using Orderzo, you grant us a limited license to host, store, and process your data only as needed to operate the service.

All Orderzo content — software, logos, designs and branding — is owned by Orderzo Technologies Pvt Ltd. Orderzo's name, logo and slogans (such as "Order. Bill. Done." and "Apna dukan, apne haath mein") are our brand; please don't use them without our permission.

You may not copy, reproduce, or use our brand without written permission.

We work to keep Orderzo available but do not guarantee uninterrupted service. We may need to perform maintenance, updates, or downtime for reasons including:

• Scheduled maintenance (with advance notice when possible)
• Emergency bug fixes or security patches
• Third-party service outages (Supabase, Vercel, Cloudflare, Razorpay, or SMS providers)
• Force majeure events

We are not liable for losses due to temporary unavailability.

Orderzo is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by Indian law:

• We do not guarantee that the service will be error-free or meet every business need
• Bills, order notifications, and payment reminders are delivered through third-party channels (WhatsApp, SMS/OTP providers, push and email services) and the public internet. We do not guarantee that any given message, order notification, or reminder will be delivered, delivered on time, or seen — and we are not liable for missed orders, late or unpaid bills, or any other loss arising from a message that did not send, arrive, or display
• We are not responsible for losses caused by user error, third-party services, or events outside our control
• Our total liability is limited to the fees you paid in the 12 months preceding the claim, or ₹2,000, whichever is higher
• We are not liable for indirect, incidental, consequential, or punitive damages

You agree to indemnify and hold Orderzo harmless from any claims, damages, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your business's interactions with your customers
• Tax disputes related to your business operations

You may terminate your account at any time through account settings or by emailing support@orderzo.io.

We may suspend or terminate your account if you violate these Terms. Upon termination, your data will be deleted per our Privacy Policy.

We may update these Terms from time to time. We will tell you about material changes by email or in the app before they take effect. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of India, including:

• Indian Contract Act, 1872
• Information Technology Act, 2000
• Consumer Protection Act, 2019
• Digital Personal Data Protection Act, 2023
• Goods and Services Tax (GST) Act

Any disputes shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana, India.

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Orderzo Technologies Private Limited regarding your use of the service.
